By creating an account or using our service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our service.

You must be at least 16 years old to use this service. By using our service, you represent that you meet this age requirement.

2. Service Description

Planly is an email-to-calendar processing service that extracts event information from emails and creates calendar invitations. The service is provided on a best-effort basis. We do not guarantee perfect accuracy in event extraction or processing.

Service availability may be interrupted for maintenance, updates, or technical issues. We strive to minimize disruptions but cannot guarantee 100% uptime.

3. User Accounts and Responsibilities

You must provide accurate and complete information when creating your account. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your email content complies with applicable laws
  • Monitoring your credit balance and purchasing additional credits as needed

4. Credit System and Payments

Our service operates on a prepaid credit system. Each successfully processed email consumes credit.

Credit purchases are processed through third-party payment providers. All sales are final and non-refundable except as required by applicable law. Credits do not expire but may be forfeited if your account is terminated for violation of these Terms.

We reserve the right to refuse processing if your account has insufficient credits or if content violates our acceptable use policy.

5. Acceptable Use

You agree not to use our service to:

  • Process illegal, harmful, or offensive content
  • Violate any applicable laws or regulations
  • Attempt to reverse engineer or compromise our service
  • Send spam or unsolicited communications through our service
  • Process content containing personal data of others without proper authorization

6. Intellectual Property and User Content

You retain ownership of content you submit to our service. By using our service, you grant us a limited, non-exclusive license to:

  • Process your email content to extract calendar events
  • Store and transmit your data as necessary to provide the service
  • Use aggregated, anonymized data to improve our service

Our service, including its design, functionality, and underlying technology, is protected by intellectual property laws. You may not copy, modify, or create derivative works based on our service.

7. Service Modifications and Termination

We reserve the right to modify, suspend, or discontinue our service at any time with reasonable notice. We may terminate accounts that violate these Terms, with notice when possible.

You may terminate your account at any time by contacting us. Upon termination, your access will cease, but these Terms will continue to apply to prior use of the service.

8. Disclaimers and Limitation of Liability

Our service is provided "as is" without warranties of any kind. We do not guarantee:

  • Accuracy of event extraction or calendar creation
  • Uninterrupted or error-free service operation
  • Compatibility with all email formats or calendar systems

To the maximum extent permitted by law, our total liability for any claims related to the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: your use of the service, violation of these Terms, or infringement of third-party rights.

10. Dispute Resolution

Any disputes arising from these Terms or your use of our service will be resolved through good faith negotiation. If resolution cannot be reached, disputes will be subject to the jurisdiction of courts where we are located.

11. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email or service notification at least 30 days before taking effect. Continued use after changes constitutes acceptance of the updated Terms.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
